Spencer Trask Collaborative Venture Partners, LLC ("VC") has set forth the rules and regulations for use of the www.VenCorps.com website ("the Website") in order to avoid any problem, mistake, error or oversight being committed by its users. Generally speaking, these rules simply require respect for other users, ethical, reasonable and business-like conduct. Any user violation of the following Terms and Conditions may result in temporary or permanent termination of a user's access, registration and membership rights in the Website.

Our Specific Conduct Guidelines:

1. Notwithstanding the user postings envisioned by the purpose of the Website, VC does not allow any advertisements or solicitations from its users or third-parties to be made on the Website. Additionally, users may not post or "spam" other users with unsolicited advertising, solicitations or promotional materials.
   
2. Users may not engage in or foster any illegal activity as part of their use of the Website. If you fail to comply with this provision, information concerning any such activities or conduct may be provided to law-enforcement officials.
3. Users may not engage in any activity that may damage, harm or cause disruption of VC's Website, related systems or those of its users. Specifically, users may not upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment. Additionally, users may not attempt to reverse engineer, modify or use any anti-circumvention methods to discover the source, object or other code to the Website.
4. VC does not allow users to collect or resell data containing, compiling or relating to other users' personal information.
5. VC respects the intellectual property rights of others, therefore, you may not use the Website to duplicate, transmit or otherwise infringe the rights of any intellectual property holder.
6. When engaging in instant messaging, chat, or any other communications, VC does not allow obscene, racist, sexually explicit or otherwise inappropriate language, nor do we allow any activities or communications that is inconsistent with the Terms and Conditions. VC reserves the right to change, amend or delete any postings or communications that it determines may defame or cause personal insults or bad feelings, as well as any communications that, in its sole discretion, VC finds are in any way abusive or hateful. Moreover, if necessary, information on any such activities or communications may be provided to law-enforcement officials.
7. VC does not allow users to take any action or upload, post, email, transmit or otherwise make available any content or initiate communications which would violate any rights, laws, obligations or protected by a contractual or fiduciary relationships (such as insider information, proprietary or confidential information).
8. While respecting all beliefs and affiliations of its users, VC does not allow any political or religious statements to be made on the Website. Moreover, users may not engage in any actions or conduct which may be considered stalking or harassment of other users of the Website. What actions are to be considered political or religions statements, stalking or harassment will be decided by VC at its sole discretion.
9. VC does not allow users to falsely state, impersonate, or otherwise misrepresent his/her identity in their profile, business plans, videos, materials, information or other postings on the Website, including but not limited to misrepresenting experience, transaction history, qualifications or affiliations.
10. As with all business ventures, you access, use, register or participate on the Website at your own risk. Therefore, remember to be careful engaging in any communications or business dealings and keep your user name and password secret because you are solely held responsible for any activities or communications originating from your user account. Moreover, VC has no responsibility for the content, postings, materials, information or opinions of any other users.
11. From time to time, VC may provide the opportunity to engage in activities within the Website for which points may be earned. As stated in the End User License Agreement, these points have no monetary value and are subject to change at the sole discretion of VC.
12. VC does not allow the buying or selling of user accounts or points . VC reserves the right to terminate any user account that has been bought or sold, or ban any user that has engaged in the buying or selling of accounts or points .
13. Any instances of unethical, unreasonable and/or unbusinesslike conduct or other failure to follow the Terms and Conditions or End User License Agreement, may result in VC banning you from the Website temporarily or even permanently.
14. VC does not allow users to solicit its members to join other Website communities.
15. By accessing and using the Website, you agree to abide by VC's Terms and Conditions and Facilitator Agreement.
16. If you witness any activities, postings or communications that you feel are in violation of VC's Terms and Conditions or Facilitator Agreement, please notify VC by sending an email to info@VenCorps.com.
